1. Introduction

Welcome to PSG Compass. By purchasing, downloading, or using our software, you agree to comply with and be bound by the following Terms and Conditions. Please review these terms carefully before purchasing or using PSG Compass.

2. Merchant of Record

PSG Compass uses Paddle as its Merchant of Record. Paddle handles order processing, payments, and applicable taxes for all purchases made through this website. Your transaction and invoice will be issued by Paddle, and your payment is subject to Paddle’s Buyer Terms and Conditions and Privacy Policy.

3. Free Trial

PSG Compass offers a 10-day free trial with the following feature limitations:

• Copedent Editor: Fully functional with no restrictions
• Chord Finder: Limited to the first chord category only, no PDF export
• Scale Finder: Limited to the first scale category only, no PDF export
• Chord Decipher: Limited to 10 total searches during the trial period
• Voice Leader: Limited to 4 measures and first chord category only, no PDF export

The trial period begins when you first launch the application and lasts for 10 days. No credit card is required to start your trial. After the trial expires, you must purchase a license to unlock features according to your license type and continue using PSG Compass.

4. License Purchase & Activation

Upon completing your purchase, you will receive a unique serial number via email. This serial number grants you a non-transferable, non-exclusive right to use PSG Compass according to the tier you purchased (Basic or Pro).

License Binding: Each license is permanently bound to a single computer. When you activate your license, it is linked to your computer's unique hardware identifier. This prevents unauthorized sharing while protecting your investment.

License Tiers:

• Basic ($35 + taxes): Full Chord Finder and Scale Finder with all available chord and scale categories, plus PDF export capabilities
• Pro ($65 + taxes): Everything in Basic, plus unlimited Chord Decipher searches and full Voice Leader with all available chord categories and PDF export
• Upgrade Pricing: Already have Basic? Upgrade to Pro for $35 + taxes

Note: Taxes vary based on your region and are calculated automatically at checkout by our payment processor, Paddle.

5. License Validation & Online Requirements

To prevent piracy and ensure license integrity, PSG Compass requires periodic online validation:

• Initial Activation: Requires internet connection to validate your serial number and bind it to your computer
• Automatic Revalidation: Your license automatically revalidates online every 30 days when you launch the app
• Manual Revalidation: You can manually revalidate anytime by opening Help → License Information → "Revalidate License". This resets the 30-day countdown, allowing extended offline use
• Offline Grace Period: If you cannot connect to the internet for more than 30 days after your last validation, the app will downgrade to trial mode (10 days with limited features)
• After Grace Period: If trial mode also expires without revalidation, the app will require an internet connection to continue

For Extended Offline Use: If you plan to be offline for an extended period (e.g., traveling, touring, or working remotely), simply revalidate your license before going offline. This resets the 30-day timer and allows you to use PSG Compass offline for another 30 days. You can monitor your validation status in the License Information window, which displays the date of your last validation and days remaining.

This system allows you to use PSG Compass offline for up to 40 days total (30 days + 10 day grace period) while protecting against unauthorized distribution.

6. License Transfer & Computer Changes

Important: Licenses are permanently bound to your computer's hardware. Deactivating your license from within the app does not unbind it from your computer—reactivation will only work on the same machine.

Moving to a New Computer: If you need to transfer your license due to:

• Hardware replacement or upgrade
• Computer failure or loss
• Purchasing a new computer

You must contact us at psgcompass@gmail.com to request a license reset. We will unbind your license from the old computer so you can activate it on your new machine. Please note that frequent transfer requests may be subject to review.

Prohibited Actions: Sharing, reselling, or redistributing your serial number or any part of the software is strictly prohibited and will result in license termination without refund.

License Revocation for Misuse: PSG Compass actively monitors license usage to detect unauthorized sharing or attempts to use a single license on multiple computers. If we detect that your serial number is being used on multiple machines simultaneously or if there are repeated attempts to bypass the single-computer restriction, we reserve the right to:

• Immediately revoke your license without prior notice
• Permanently block your serial number from further activation
• Deny any refund requests for terminated licenses
• Take legal action if warranted

Our system logs all validation attempts including machine identifiers, IP addresses, and timestamps. This data is used solely for security purposes and license compliance enforcement. Legitimate transfer requests made through our official support channel (psgcompass@gmail.com) are always honored for valid reasons such as hardware upgrades or computer replacement.

7. Refund Policy

All purchases of PSG Compass are processed securely by Paddle, our Merchant of Record. Paddle handles payment processing, invoicing, and refund requests in accordance with their Buyer Terms and Conditions.

If you are unsatisfied with your purchase or experience a technical issue preventing use of the software, you may request a refund within 14 days of purchase by contacting Paddle support or emailing us directly at psgcompass@gmail.com.

8. Intellectual Property

All content, graphics, and software provided through PSG Compass are the intellectual property of the developer. You may not reproduce, distribute, or modify any part of the software or this website without prior written consent.

9. Liability Disclaimer

PSG Compass is provided “as is” without warranty of any kind. We are not responsible for any damages, data loss, or issues resulting from the use or inability to use the software.

10. Privacy

We respect your privacy. No personal information is collected by the PSG Compass app. Any payment-related data is handled securely by Paddle in accordance with their privacy practices.
